Coaching agreement and terms

A plain-English coaching agreement for coaches who sell 1:1 sessions, group programs and memberships. It explains what coaching is and is not, how sessions are booked and rescheduled, payment and refund terms for each offer, confidentiality and its limits, recordings, and how either side can end the agreement, with a short summary at the top. Update the fees, notice periods and refund window to match your business, and have it reviewed by an adviser in your state before you publish it.

Coaching agreement and terms

Last updated November 6, 2026

These terms explain how coaching with Clearpath Coaching works, what you can expect from us and what we ask of you. They apply to 1:1 coaching, the First-Time Manager Program and Clearpath Circle membership.

The short version
  • Coaching is a partnership. You make the decisions; we help you think clearly and act.
  • Give us 48 hours' notice to move a 1:1 session and it won't count against your package.
  • What you share stays confidential, with a few legal exceptions explained below.
  • The group program has a two-session money-back guarantee, and you can cancel Circle any time.

1. What coaching is, and is not

Coaching is a structured conversation that helps you set goals, build skills and take action in your work as a leader. Your coach will ask questions, share frameworks and give honest observations, but you remain responsible for your own decisions and their results.

Coaching is not therapy, counseling, legal, financial or medical advice, and it is not a substitute for any of them. If a topic comes up that would be better served by another professional, your coach will say so and may suggest you seek that support.

2. Our responsibilities and yours

We will

  • arrive prepared and on time for every session
  • keep what you share confidential, as described below
  • be honest with you, including when it is uncomfortable
  • follow the International Coaching Federation Code of Ethics
  • tell you if we think coaching is no longer helping you

We ask you to

  • come to sessions ready to take part openly
  • try agreed actions between sessions, and tell us how they went
  • let us know if something isn't working for you
  • treat other members of a group or community with respect
  • keep other participants' stories confidential

3. Sessions and rescheduling

1:1 sessions are 50 minutes on Zoom or by phone, booked through your member account. Group program sessions run at fixed times shared before the program starts.

If youWhat happens
Reschedule a 1:1 session 48 hours or more in advanceNo charge. Pick a new time from your account.
Reschedule with less than 48 hours' noticeThe session counts as used, though we will waive this once per package for emergencies.
Are more than 15 minutes lateThe session may be shortened or counted as used.
Miss a group sessionThe recording is posted within one business day. Group sessions cannot be made up 1:1.

If your coach needs to reschedule, we will give you as much notice as possible and you will never lose a session because of it.

4. Fees and payment

  • 1:1 coaching packages are paid in full when booked, or in three monthly installments for packages of six sessions or more. Sessions must be used within six months of purchase.
  • The First-Time Manager Program is paid in full on enrollment, or in two installments 30 days apart. Company invoices are due within 30 days.
  • Clearpath Circle is billed monthly or annually, in advance, until you cancel.

Prices are in US dollars and are shown on our site before you pay. Payments are taken by our payment provider; we never see or store your full card number.

5. Refunds and cancellations

The First-Time Manager Program

Attend the first two sessions and complete the practice assignments. If you are not satisfied, email us before the third session for a full refund. After that, fees are not refundable, but you may transfer your place to a colleague or to a later cohort once.

1:1 coaching packages

Unused sessions can be refunded within 30 days of purchase, less any sessions already held at the single-session rate. After 30 days, unused sessions are not refundable.

Clearpath Circle

Cancel any time from your account page. You keep access until the end of the period you have paid for, and we do not refund partial months or years.

6. Confidentiality

Everything you share in coaching is kept confidential. We will not share it with your employer, even if your employer pays for coaching, unless you ask us to in writing. Where a company sponsors coaching, we may confirm attendance and share any summary you have agreed to in advance.

We may break confidentiality only if we believe you or someone else is at risk of serious harm, if we are required to by law or a court order, or if you disclose a serious crime. Where we can, we will talk to you first.

In group sessions and the community, you agree to keep what other participants share private. We ask everyone to follow the same rule, but we cannot guarantee how other participants behave.

7. Recordings and materials

Group sessions are recorded and shared only with participants of that cohort or with Circle members. 1:1 sessions are never recorded unless you ask. Worksheets, templates and recordings are for your own use and your own team; please don't resell or republish them.

8. Ending the agreement

You may stop coaching at any time by emailing us. Refunds follow section 5. We may end coaching if we believe it is no longer helping you, or if a participant behaves in a way that harms others in a group. If we end it for any reason other than your conduct, we will refund unused sessions in full.

9. Questions

If anything here is unclear, or you would like to discuss terms for your company, email hello@example.com. We are happy to talk it through before you book.

This agreement is a starting point, not legal advice. Check it against how your coaching business actually works, and ask an adviser in your state to review it before you publish or ask clients to accept it.
